End User License Agreement

BCOverheadAgent — operated by BC Solutions.

This End User License Agreement ("EULA," "Agreement") is a binding legal contract between you ("Licensee," "you") and BC Solutions ("Licensor," "we," "us") governing your use of the BCOverheadAgent software ("BCOA," "the Software"). By installing, activating, or using BCOA, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to your payment of the applicable license fee and your continued compliance with this Agreement, BC Solutions grants you a non-exclusive, non-transferable, revocable license to install and use BCOA on a single Windows computer that you own or control. This is a license, not a sale; you do not own the Software.

2. Permitted use

• You may install and activate BCOA on one (1) Windows machine.
• You may move your license to a different machine by deactivating it on the prior machine and reactivating on the new one. The activation server enforces single-machine usage.
• You may use BCOA to compute burden rates, overhead allocations, and related labor-cost analyses for your own construction business or for businesses you provide professional services to as an independent contractor or employee.

3. Restrictions

You may not:

• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of BCOA, except to the extent expressly permitted by applicable law.
• Copy, modify, redistribute, sell, sublicense, lease, rent, or otherwise transfer your license or copies of the Software.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.
• Use the Software in a service-bureau capacity to compute results for unrelated third parties without a separate commercial agreement.
• Use the Software in violation of any applicable law or regulation.

4. Intellectual property

BCOA, including all algorithms, source code, documentation, branding, and visual design, is the exclusive intellectual property of BC Solutions and is protected by United States copyright law and international treaties. All rights not expressly granted to you in this Agreement are reserved by BC Solutions.

5. Updates and version policy

Your license entitles you to free updates and bug fixes within the major-version line in which your license was purchased (e.g., version 1.x updates included for a 1.x license). Major-version upgrades (e.g., from 1.x to 2.x) may require an upgrade fee at BC Solutions' discretion. BC Solutions reserves the right to discontinue support for older versions on reasonable notice.

6. License key and activation

Your license key is personal to you and your business. You agree to keep your license key confidential and to notify us promptly if you believe it has been compromised. BC Solutions reserves the right to revoke licenses that are shared, resold, or used in violation of this Agreement.

7. Disclaimer of warranties

BCOA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, BC Solutions disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

BCOA computes financial estimates based on inputs that you provide and on data that BCOA reads from your QuickBooks Online account. These estimates are tools to support your decision-making; they are not a substitute for professional accounting, tax, or legal advice. You are solely responsible for the accuracy of your input data, the correctness of your QuickBooks chart of accounts, the interpretation of BCOA's output, and the business decisions you make based on it. BC Solutions makes no warranty that BCOA's outputs are suitable for any particular regulatory, tax, audit, or financial-reporting purpose.

8. Limitation of liability

To the maximum extent permitted by law, in no event shall BC Solutions, its members, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or financial losses arising from your use of, or inability to use, BCOA — even if BC Solutions has been advised of the possibility of such damages.

In any event, BC Solutions' total cumulative liability arising from or relating to this Agreement and your use of BCOA shall not exceed the amount you paid for your BCOA license in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless BC Solutions from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of BCOA, your violation of this Agreement, or your violation of any law or the rights of any third party.

10. Termination

This Agreement is effective until terminated. BC Solutions may terminate this Agreement and revoke your license if you breach any term of this Agreement, including non-payment, license sharing, or unlawful use. Upon termination, you must cease all use of BCOA and uninstall it from your computer. Sections 4, 7, 8, 9, and 12 survive termination.

11. Refunds

BCOA includes a 21-day free trial before any payment is required. Because of this trial period, license purchases are non-refundable except as required by law. If you encounter a defect that prevents BCOA from functioning as advertised, contact support@bcconstructionledger.com and we will work in good faith to resolve the issue or refund your purchase at our discretion.

12. Governing law and disputes

This Agreement is governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. Any dispute arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in Georgia, and both parties consent to the personal jurisdiction of those courts.

13. Entire agreement

This Agreement, together with the Privacy Policy at bcsuperagents.com/bcoa/privacy, constitutes the entire agreement between you and BC Solutions regarding BCOA and supersedes all prior agreements and understandings, whether written or oral.
